1. Who we are
Wayne Foundry Limited is a company registered in Kenya. Our office contact is hello@waynefoundry.com. These terms are governed by Kenyan law and any dispute is heard by the courts of Kenya.
2. What you're signing up for
On Shopfront Lite, we configure a WhatsApp commerce assistant connected to your shop. It answers customer messages, reads your Business Brain, captures orders, sends payment instructions, and posts the order to your Console. You verify each M-Pesa payment claim manually in the Console and click Approve before the order is treated as paid.
Exactly what your agent does depends on the package you pick (Shopfront Lite, an add-on, or a Custom Build) and the scope we agree in writing.
The agent is a tool for your business. It does not replace your judgement on decisions that matter, including payment approval, refunds, complaints, regulated advice, or anything outside the scope you agreed.
3. Free trial
New customers get a 30-day free trial. No card up front. No notice period during the trial. If you do not want to continue at the end of the trial, tell us and we will switch the agent off. Unless a legal or security reason requires us to keep limited records, we delete or anonymise service data after the 30-day post-cancellation window. If you keep using the service after the trial, we will send the first invoice for the package you signed up for.
4. Pricing & billing
Shopfront Lite starts from KES 2,000/month after the 30-day free trial. Add-ons and Custom Builds are priced per scope, agreed in writing before any work starts. Prices are in Kenya Shillings and exclude VAT unless stated. Invoices are payable within 14 days.
We can change pricing for new customers at any time. If we change your existing price, we will give you 30 days' notice by email. You can cancel before the new price takes effect.
5. Cancellation
You can cancel any time by emailing hello@waynefoundry.com. There is no notice period. You pay for the month you cancel in, and we do not give pro-rata refunds for partial months unless your written scope says otherwise. After cancellation we keep service data for 30 days in case you need an export or restore, then delete or anonymise it unless we need to retain limited records for tax, audit, security, dispute, or legal reasons.
6. Your responsibilities
By using the agent, you confirm:
- You own or are authorised to operate the WhatsApp Business number you connect.
- The product, price, stock, and policy information you give us is accurate. The agent quotes from what you tell it.
- You will not use the agent to send unsolicited marketing, spam, or any content that breaks Kenyan law or WhatsApp's terms of service.
- If you send marketing messages, you will get any consent required by law and provide a clear opt-out route.
- If your WhatsApp connection requires templates, business verification, Meta approval, or WhatsApp Business Platform setup, you will provide accurate business information and only submit templates, messages, and customer lists that you are allowed to use.
- You are responsible for making sure your customers have agreed to receive any business-initiated or marketing messages where consent is required. We may refuse to send, automate, or support messages that appear to be spam, unlawful, misleading, or against WhatsApp or Meta policies.
- You are the data controller for your customers' messages. We process those messages on your behalf as a data processor. See our Privacy Policy.
7. What we're responsible for
We will use reasonable skill and care to keep the service running, replying quickly, and behaving according to the agreed scope. The agent can still make mistakes, misunderstand a customer, or fail when a third-party service is down. You remain responsible for reviewing orders, payment claims, refunds, regulated advice, and customer commitments before acting on them.
We are not liable for WhatsApp outages, M-Pesa outages, model provider outages, customer complaints about your products or services, or losses caused by information you gave us being wrong or out of date. To the fullest extent allowed by Kenyan law, our total liability to you for claims under these terms is capped at the fees you paid us in the three months before the event that caused the claim. This cap does not limit liability that cannot legally be limited.
WhatsApp, Meta, Safaricom, payment providers, model providers, and hosting providers are third-party services. Their rules, pricing, review decisions, outages, limits, suspensions, or account restrictions may affect the service. We will help troubleshoot issues within our control, but we cannot guarantee approval, availability, or uninterrupted access to third-party platforms.
8. Intellectual property
We own the agent software, reusable components, underlying code, workflows, templates, and Console unless a signed scope says otherwise. You own your business data, including your products, customers, conversations, orders, and payment records. You give us a licence to use that data only to provide, secure, support, and improve the service. We do not sell your business data.
9. Data protection
You are responsible for having a lawful basis to collect and use your customers' personal data through WhatsApp, including any marketing consent and opt-out route required by Kenyan law. We act as your processor for customer messages unless we agree another role in writing.
We may use approved sub-processors to host the service, run models, send messages, process payments, and provide support. We will handle personal data according to our Privacy Policy.
10. Changes to these terms
We can update these terms. If the change matters, we will email you 30 days before it takes effect. If you keep using the service after that, you are agreeing to the new terms. If you do not, cancel before the change date.
